Foreign Passport Holder, Director, or Investor? Find Your Compliance Pathway.

Whether you are residing in South Africa, directing a company remotely, holding offshore equity, or utilizing SA commercial banking—we navigate CIPC, SARS, and Reserve Bank regulations for you.

The 4 Operational Scenarios

1. Residing & Operating in SA

Visa holders / foreign nationals living in SA

Requirements: CIPC Director Verification (FAV), Local SARS Income Tax, B-BBEE Affidavits, COIDA, and Labour Registrations (UIF/SDL).

2. Non-Resident Director

Operating a local SA entity remotely from abroad

Requirements: Mandatory SA Resident Public Officer Appointment, Foreign Director CIPC Verification (FAV), SARS Tax Compliance Status (TCS PIN).

3. Non-Resident Shareholder / Investor

Holding SA corporate equity / shares offshore

Requirements: SARB Non-Resident Share Certificate Endorsement, CIPC Beneficial Ownership (BOREG) mandatory filings, Dividend Withholding Tax (DWT) management.

4. SA Financial & Banking Gateway

Trading abroad while utilizing SA commercial banking & treasury infrastructure

Requirements: SA Non-Resident Commercial Corporate Bank Setup, SARB Exchange Control clearance for SWIFT payments, FICA & TCSP remote verifications.

“In” vs. “With” South Africa — and the Traps to Avoid

Doing business in South Africa (local CIPC entity + SARS filings) is not the same as doing business with South Africa (exchange control, FICA and non-resident banking).

The Resident Public Officer Rule

SARS legally requires every SA entity to designate a SA-resident Public Officer. Foreign directors operating remotely cannot maintain active tax status or access eFiling without this registered representative.

Share Endorsement & Dividend Repatriation

Without a South African Reserve Bank (SARB) endorsement on non-resident share certificates, banks cannot legally repatriate dividends or capital proceeds offshore.

CIPC Beneficial Ownership (BOREG)

Failing to register foreign individual/entity owners holding 5%+ equity triggers automated compliance flags and freezes CIPC annual returns.

Regulatory Insights

Recent Compliance Shifts You Must Not Ignore

The regulatory landscape is moving fast. Two enforcement changes are reshaping how South African companies must file and disclose.

CIPC Beneficial Ownership Disclosure

The CIPC Beneficial Ownership module is now enforced through automated flagging. Companies that fail to disclose their ultimate beneficial owners risk compliance flags, rejected filings and deregistration. We update and verify your UBO register so nothing blocks your corporate records.

SARS Understatement Penalties

SARS is applying understatement penalties more aggressively to inaccurate returns and undeclared income. Early, accurate reconciliation is one of the most effective ways to reduce understatement-penalty exposure. Our tax team reviews your filings to keep understatement exposure off your books.

Frequently Asked Questions

Q: How long does company registration take?

A: Timelines depend on CIPC processing speed and how quickly you supply documents. Once we have everything we need from you, we move as fast as the regulator allows — we'll give you a specific estimate at your free consultation.

Q: What documents do I need to get started?

A: In most cases: a certified copy of your ID or passport, proof of address, and basic company details. Some services (VAT, COIDA, work permits) need additional documents — your consultant will confirm exactly what's required.

Q: Can foreigners or non-residents register a company in South Africa through Maltech-Africa?

A: Yes. Under the Companies Act 71 of 2008 there is no residency or citizenship requirement — a foreign national can be the sole shareholder and director of a South African company. We run a dedicated Non-Resident Business Setup service for passport holders and diaspora clients who aren't based in South Africa.

Q: Can you help if my company is already registered?

A: Yes — most of our clients are established businesses. We handle annual returns, amendments, tax registrations, VAT, beneficial ownership filings, and ongoing compliance for existing companies.

Q: Do you only handle South Africa, or Zimbabwe too?

A: Both. We run dedicated SA and Zimbabwe compliance shops, plus cross-border services for businesses operating in both countries.

Frequently Asked Questions: Foreign & Non-Resident Company Registration

Is it possible to register a company in South Africa for free?

No, official statutory fees and mandatory compliance procedures apply. Direct online filing with the CIPC incurs a baseline government fee of R125 (without name reservation) or R175 (including electronic name reservation at R50).

For foreign nationals and non-resident directors, successful setup requires far more than basic CIPC portal entry. Maltech-Africa provides end-to-end concierge handling through structured compliance packages:

• Starter Company Setup Bundle (R1,850): Covers baseline CIPC (Pty) Ltd incorporation, SARS Income Tax reference registration, mandatory Beneficial Ownership (BOREG) filing, and BEE affidavits.

• Passport Holder Special Offer (R2,850): Full incorporation and setup tailored for foreign passport holders residing within South Africa.

• Non-Resident & Offshore Setup Package (R7,600): Full turnkey service for international business owners operating remotely from abroad.

What core services are included in Maltech-Africa's foreign company setup packages?

Depending on whether you operate locally or remotely, our dedicated Registered TCSP team (ID #65232) manages all critical post-incorporation statutory requirements:

• Foreigner Assurance Verification (FAV): Identity verification processing via the CIPC e-Services portal.

• SARS Resident Public Officer Representation: Meeting SARS tax residency obligations for non-resident directors via our Director & Shareholder Governance Shield.

• SARB Share Certificate Endorsements: Mandatory Authorised Dealer share endorsements for foreign investors.

• Cross-Border Trade & Banking Setup: FICA verification, institutional banking onboarding support, and cross-border advisory via the Cross-Border Trade Readiness Pack.

Can foreign nationals register and fully own a South African company?

Yes. The South African Companies Act permits 100% foreign ownership of a Private Company ((Pty) Ltd) subsidiary. Shareholders and directors do not need to be SA citizens. Foreign owners managing operations remotely can select our Foreign Owners Company Registration Package to handle CIPC Foreigner Assurance, local SARS representation, and Authorised Dealer compliance.

Can you run a business in South Africa without registering a company?

While informal sole proprietorship is possible for tiny local operations, operating an un-incorporated business exposes international owners to unlimited personal liability, prevents opening a South African corporate bank account, and stops you from trading across borders. Registering a formal (Pty) Ltd via Maltech-Africa protects personal assets and opens access to SA banking infrastructure.

Do Non-Profit Organisations (NPOs) have to register with CIPC?

Yes, if structured as a Non-Profit Company (NPC), incorporation must be filed through the CIPC with a minimum of 3 directors. If you are setting up an NPO or non-profit trust across the SADC corridor, consult our Maltech-Africa Compliance Advisory to determine whether an NPC or Trust structure fits your mandate.
