Description

Holding, Parent Company Setup

Move the shares of your registered company to your holding company, correctly and on the record. We prepare the agreement, resolutions, share certificate and securities register, handle the STT filing and update the beneficial ownership declaration. All done remotely.

Per subsidiary. Securities transfer tax (STT) is paid to SARS at cost and is not included.

What is a group restructure?

A holding company owns the shares of one or more subsidiary companies. If your companies are already registered in your personal name, the shares must be formally transferred to the holding company before it legally owns them. This service does that properly, with the paperwork, the registers and the filings that make the new ownership valid.

What is included (per subsidiary)

  • Share sale or transfer agreement between the current shareholder and the holding company
  • Board resolutions for the holding company and the subsidiary
  • Cancellation of the old share certificate and issue of a new certificate to the holding company
  • Updated securities register for the subsidiary
  • Securities transfer tax (STT) assessment and submission to SARS
  • Amendment of the subsidiary's beneficial ownership declaration
  • Remote service. You do not need to visit our office.

What is not included

  • The STT itself, which is paid to SARS at cost. At nominal share values the amount is usually very small.
  • Public officer, Registered representative or annual compliance services. These are available separately in the shop.

What we need from you

  • The registration documents of the holding company and the subsidiary
  • The current share certificate and securities register of the subsidiary, if you have them
  • Certified ID or passport copies of the current shareholder and the signatory for the holding company
  • The number of shares to be transferred

Who is this for?

Business owners with companies already registered in their own name, foreign directors and family businesses who want a holding company on top, and anyone who registered several companies separately and now wants a clean group structure.

Planning to register new companies? Ask us before you register, because the structure can often be built correctly from the start.

Frequently asked questions

Do I need a holding company before I transfer the shares?

Yes. The holding company must already be registered so that it can sign the agreement and appear in the subsidiary's securities register.

What is securities transfer tax (STT)?

STT is a tax of 0.25% charged by SARS on the transfer of company shares, calculated on the higher of the price paid and the market value. For a new company with nominal share capital, it is usually only a few rand. It is paid to SARS at cost and is not part of our fee.

Does this change who the real owner is?

Not if you own the holding company. You stay the beneficial owner, but the beneficial ownership declaration must be updated to show that you own the subsidiary through the holding company.

This service prepares and files the corporate and registration documents. It is not legal or tax advice. Where your situation needs a tax opinion, we will tell you before we start.
